1. Introduction and Acceptance

Welcome to Shree Ayyappa Milk Centre ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our wholesale dairy supply services, website, and the Dhood mobile application.

By placing an order, using our website, or accessing the Dhood app, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

2. Services Overview

We provide wholesale and bulk supply services for:

  • Dairy products (milk, butter, cheese, paneer, yogurt, etc.)
  • Ice cream products from various brands
  • Frozen food items

We are authorized distributors for Amul, Dilicia, Creambell, and other premium brands. All products are subject to availability.

3. Business Eligibility

Our services are exclusively for business-to-business (B2B) transactions. To use our services, you must:

  • Be a registered business entity or authorized representative
  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Provide accurate business registration and tax information
  • Maintain valid business licenses as required by local laws

4. Order Placement and Acceptance

4.1 Order Submission

Orders can be placed through our enquiry form, phone, email, or the Dhood mobile app. All orders are subject to acceptance by us and product availability.

4.2 Order Confirmation

An order is considered accepted only when you receive written confirmation from us via email, Dhood app notification, or official documentation. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, pricing errors, or suspected fraudulent activity.

4.3 Minimum Order Requirements

Minimum order quantities may apply for wholesale purchases. Specific requirements will be communicated during order placement or are available in the Dhood app.

5. Pricing and Payment Terms

5.1 Pricing

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change without notice. The price applicable to your order will be the price confirmed at the time of order acceptance.

  • Prices exclude applicable taxes unless stated otherwise
  • GST and other statutory taxes will be charged as per prevailing rates
  • Delivery charges may apply based on location and order value

5.2 Payment Methods

We accept the following payment methods:

  • Bank transfer / NEFT / RTGS
  • Cheque (subject to clearance)
  • UPI and digital payment methods
  • In-app payment through Dhood (where available)
  • Credit terms for approved business accounts

5.3 Payment Terms

  • New Customers: Payment in advance or cash on delivery (COD) may be required
  • Credit Accounts: Payment terms (Net 15, Net 30, etc.) may be extended to approved customers
  • Late Payments: Interest may be charged on overdue amounts as per agreed terms
  • Credit Limits: We reserve the right to set credit limits and suspend services for non-payment

6. Delivery and Shipping

6.1 Delivery Areas

We deliver to specified service areas. Delivery availability and charges depend on the delivery location and order size.

6.2 Delivery Schedule

Estimated delivery times are provided at the time of order confirmation. While we strive to meet delivery schedules, we are not liable for delays caused by factors beyond our reasonable control (weather, traffic, natural disasters, etc.).

6.3 Risk and Title

Risk of loss and title for products pass to you upon delivery. You are responsible for inspecting products upon delivery and reporting any issues immediately.

7. Product Quality and Returns

7.1 Quality Assurance

We are committed to supplying high-quality products. All products are sourced from authorized manufacturers and stored under appropriate conditions (cold chain for refrigerated items).

7.2 Returns and Replacements

Due to the perishable nature of our products, returns are accepted only in the following circumstances:

  • Products delivered are defective or damaged
  • Incorrect products were delivered
  • Products are past their expiration date at the time of delivery

Claims must be made within 24 hours of delivery with photographic evidence. We will investigate and, if valid, provide replacement or credit as appropriate.

7.3 Non-Returnable Items

Products cannot be returned if they have been stored improperly after delivery or if the cold chain has been broken due to customer handling.

8. Dhood App Usage Terms

8.1 Account Registration

To use the Dhood app, you must create an account with accurate business information. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

8.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Dhood app for your business purposes. This license does not permit you to:

  • Reverse engineer, decompile, or disassemble the app
  • Use the app for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Use the app to transmit viruses or malicious code

8.3 App Availability

While we strive to maintain continuous app availability, we do not guarantee uninterrupted access. We may suspend or discontinue the app for maintenance, updates, or other operational reasons.

9. Intellectual Property

All content on our website and Dhood app, including but not limited to text, graphics, logos, images, and software, is the property of Shree Ayyappa Milk Centre or its licensors and is protected by intellectual property laws.

Product names and brands (Amul, Dilicia, Creambell, etc.) are trademarks of their respective owners. We use these names solely to indicate authorized distribution.

10. Limitation of Liability

To the maximum extent permitted by law, Shree Ayyappa Milk Centre shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:

  • Loss of profits or revenue
  • Business interruption
  • Loss of data or information
  • Third-party claims

Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you for the specific products giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Shree Ayyappa Milk Centre, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms or misuse of our services.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, government actions, or supply chain disruptions.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in [Your City/State].

We encourage resolution of disputes through good faith negotiations before initiating legal proceedings.

14. Termination

We reserve the right to terminate or suspend your access to our services and the Dhood app immediately, without prior notice, if you breach these Terms or engage in fraudulent or illegal activities.

Upon termination, all outstanding payments become immediately due, and you must cease all use of our services and the Dhood app.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last Updated" date. Continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shree Ayyappa Milk Centre regarding the use of our services and supersede all prior agreements and understandings.
